Civic Deeds Inc.

Thank you for interacting with Civic Deeds Inc. When you create an account, interact with our app, or access any part of our services (the “Service”), you agree to these Terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization. “You” includes both you and your organization.

1. How these Terms work with our Privacy Policy

Our Privacy Policy explains how we collect, use, store, and share personal information, and how our AI features and data handling work. By agreeing to these Terms, you also agree to the Privacy Policy. Any term defined here or in the Privacy Policy or Privacy Statement have the same definition, unless stated otherwise. If a conflict arises, the Privacy Policy controls for privacy matters.

2. Who can use the Service

You must:

  • Be legally able to enter a contract in your jurisdiction.
  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Provide accurate account information and keep it up to date.
  • Keep your login credentials confidential; you are responsible for activity under your account.

We may decline, suspend, or terminate accounts at our discretion if we believe a user poses a risk, violates these Terms, or engages in harmful or unlawful behaviour.

3. Plans, pricing, billing, and renewals

a. Community Users — Monthly subscription

Our Community Users include Community Organizers as defined in our Privacy Policy – Community Members are free users. Community Users are billed monthly, based on access levels and usage of the Service.

b. Organizational Users — Annual license

Organizational Users include Organizational Members, Organizational Communicators, and Organizational Administrators as defined in our Privacy Policy. Organizational Users are billed annually for a license to access our data Service, with ongoing access to our data Service varying according to your license level.

c. Renewal and cancellation

All plans auto‑renew unless cancelled before the renewal date. Cancelling stops future renewals; it does not trigger refunds.

d. Payment authorization

You authorize us and our payment processor (Stripe) to charge fees, taxes, currency conversion, and any unpaid balances to your payment method.

e. All sales are final

All purchases are non‑refundable unless required by law. We do not offer refunds for partial months, unused time, or accidental purchases.

f. Failed or disputed payments

If a payment fails or is disputed, we may pause or restrict access. You remain responsible for outstanding amounts.

4. Acceptable Use (what you must not do)

Civic Deeds Inc. retains absolute discretion to terminate, suspend, or otherwise prevent use of the Service by any user or group. Any breach of these terms, including the terms of Acceptable Use may result in the termination of your, and/or your organization’s rights to access or use the Service. To illustrate using examples of conduct giving rise to our right to terminate, suspend, or otherwise prevent users from accessing the Service, this conduct includes, but is not limited to, conduct that in our view does not advance our purpose of promoting political mobilization or advocacy, such as content which could contribute to a risk of harm to another person (including by posting personal information about another person), or which degrades or demeans another person or group (such as serious insults or use of slurs). For a more specific example, an individual or group may post content or commentary on immigration issues and policy, an acceptable use of the Service, but content or commentary inciting violence against immigrants would be an unacceptable use of our Service.

a. Harmful, illegal, or discriminatory content

  • Post, share, promote, or encourage hate speech, harassment, discrimination, extremist content, or violence.
  • Post anything that would violate Canadian law or would violate the Canadian Charter of Rights and Freedoms (we contractually impose these restrictions), or in the case of users in the United States, any content or speech that would fall into an exception to the First Amendment (for example, speech integral to criminal conduct).
  • Engage in illegal activity (fraud, exploitation, distribution of malware, etc.).

b. Violations of intellectual property or privacy

  • Upload or share materials you do not have rights to use.
  • Impersonate another person or misrepresent your identity.

c. Security violations

  • Hack, disrupt, overload, probe, or interfere with the Service.
  • Use scraping, bots, or harvesting tools without our written permission.

d. Uploading prohibited data

Unless the Service specifically collects it with consent and double opt‑in, do not upload: government ID numbers, financial account numbers, sensitive personal information, contact details of private individuals, full addresses or precise location data, data about minors, health or biometric data, or similar highly sensitive data. We may remove prohibited content and suspend or terminate accounts that violate these rules.

You should not store any sensitive or personally identifiable information on the Service, except for the data the application itself collects which is subject to individual consent and double opt-in.

5. Your content and our use of it (UGC + data handling)

a. You own your content

Anything you upload to the platform (“User‑Generated Content” or “UGC”) remains your property.

b. Limited license to operate the Service

You grant us a non‑exclusive, worldwide license to host, process, back up, and display your UGC solely to operate and secure the Service and comply with the law. The license ends when the content is deleted or your account closes, except for any copies retained for legal or security reasons for a limited time.

c. Our ownership of derived data

Platform‑created outputs—such as transformed outputs, extracted features, summaries, AI‑generated analysis, anonymized insights, or aggregate system metadata—are owned by Civic Deeds Inc. We do not claim ownership of your original UGC.

d. Separation and anonymization

Derived/aggregate data is stored in separate, non‑identifiable tables without names, contact details, IP addresses, or account identifiers. We may apply broad region labels. For more information see our Privacy Policy.

6. AI features and their limitations

Our AI and predictive models provide suggestions and insights. You are responsible for your decisions and use of outputs.

7. Third‑party services

We rely on AWS (hosting), Stripe (payments), and Google Analytics / Meta Pixel (analytics/ads). These providers may have their own terms and privacy practices and may process your information as part of their services to us.

8. Suspension, termination, and account closure

We may suspend or close your account if you violate these Terms, upload prohibited or harmful content, fail to pay, or we believe your activity threatens the Service or its users.

If your account is cancelled, banned, or closed:

  • You have 30 days to download your user‑submitted content unless restricted by law or to prevent harm.
  • We retain your personally identifiable information for at least 30 days for fraud prevention, audit, and security.
  • You may request immediate deletion under your “right to be forgotten.”
  • We may retain anonymized/aggregate data indefinitely.

9. Service changes

We may change, improve, or retire features. If a change significantly reduces functionality, we will give reasonable notice. We are not liable for changes required for security, compliance, or operations.

10. Disclaimers

The Service is provided “as is” and “as available,” without any representations or warranties of any kind either express or implied. We do not guarantee uninterrupted or error‑free access, accuracy or completeness of outputs (including AI outputs), or that the Service will meet your needs. We disclaim all warranties to the extent permitted by law.

11. Limitation of liability

Civic Deeds Inc. is not responsible for any failures, delays or interruptions in the delivery of content or services, or losses or damages arising from the use of the content or services provided by us or third parties in connection with us. We are not responsible for any financial losses that you incur in association with your use of the Platform or Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless Civic Deeds Inc., its staff, partners, and affiliates from claims, damages, losses, liabilities, or legal fees arising from your UGC, your use or misuse of the Service, your breach of these Terms, or your violation of laws or third‑party rights.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Alberta and applicable federal laws of Canada. All disputes will be resolved in the courts located in Edmonton, Alberta.

14. Changes to these Terms

We may update these Terms and/or our Privacy Policy and will post the new effective date. Continued use means you accept the updated Terms and/or Privacy Policy. Any invalid, illegal or inoperative clause of this agreement will not affect the valid reading and application of all other clauses of this agreement.
